Institutional Master Services Agreement
These Terms & Conditions ("Terms") govern your establishment of a commercial checking account, multi-currency clearing facility, virtual corporate payment cards, and digital asset custody with Dextest ("the Institution", "we", "us"). By submitting an onboarding application or utilizing our services, you signify full acceptance of these terms.
1. Account Opening & Verification (KYC/AML)
Treasury accounts are offered to qualified institutional entities, sovereign trusts, and accredited private clients. All accounts undergo rigorous automated and manual screening against Office of Foreign Assets Control (OFAC) sanctions, Financial Action Task Force (FATF) risk lists, and international Anti-Money Laundering (AML) clearing requirements.
2. Segregated Reserve Custody
All client fiat checking balances are held in segregated client omnibus accounts with tier-1 partner depository institutions. Digital assets under custody (including Bitcoin, Ethereum, and Tether) are held 1:1 in multi-signature cold-storage hardware security modules, completely ring-fenced from proprietary operational capital.
3. Wire Clearing & Settlement Protocols
Inbound capital remittances and outbound wire instructions are processed via direct integrations with SWIFT, Fedwire, and SEPA clearing rails. Domestic wire transfers typically settle within one business day; cross-border foreign currency disbursements require 24 to 48 hours for compliance clearing and intermediary bank routing.
4. Virtual Corporate Cards
Virtual Visa Infinite cards issued via the platform are commercial prepaid debit instruments. Authorized account administrators retain real-time authority to set velocity spending limits, generate new cards, or freeze cards instantly for security safeguarding.
5. Compliance Holds & Account Safeguards
In accordance with international financial regulations, the Institution reserves the right to place a regulatory hold or restrict an account where suspicious activity, sanctions triggers, or compliance reviews occur. In such instances, settled client capital is safeguarded while compliance resolution proceeds.
6. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the servicing financial entity is chartered, without regard to conflict of law principles.
